Rules For Picking Your Company Name
Across India, the Registrar of Companies (RoC) expects applicants to follow a few naming guidelines. Some of them are subjective, meaning approval can depend on the opinion of the officer handling your request. However, the more you obey the guidelines set out below, the higher the acceptance chances would be.
- Keep an eye out for trademarked — In any case, the new name should not be similar to the name of any current business or licensed trademark * or trademark already in the approval process.
‘eBay’ for instance is an established business brand. Since the spelling is specific the MCA does not accept the word ‘ebae.’ - A common problem – Do not add common words like New, Modern, Nav, Shri, Sri, Shree, Sree, Om, Jai, Sai, The, etc. to an existing company name. It will get rejected.
- A location to be forgotten – When the company name is distinct from an established business name only by incorporating the location, the MCA will not approve.
For instance, if the name Ace Limited already exists, then Ace Cochin Limited would not be permitted. - Achieve required approval by regulators – If the company name contains terms such as ‘Insurance,’ ‘Credit,’ ‘Stock Market,’ ‘Venture Capital,’ ‘Asset Management,’ ‘Nidhi,’ ‘Mutual Fund,’ etc., otherwise, depending on the term, you are expected to have formalities imposed by the respective regulators such as IRDA, RBI, SEBI, MCA etc.
- Descriptive Element – The term ‘Research’ in Biocon Research Private Limited defines the company’s activity. If you’re, say, in the logistics or restaurant industry, you can’t have ‘Research’ in your name.
- ‘State’ is out of the question – Don’t use the word ‘State’ when naming your company. Also, only government companies have the right to include the word ‘State’ in their names.
- Don’t copy and paste – The MCA won’t allow a company name which is an exact Hindi translation of an English name for an existing company. For eg, if a business called Ace Mango Producers already operates, then Ace Aam Producers would not be approved.
- OMG is a no – New businesses can’t pick abbreviated titles like ‘XYZ restricted’ or ‘123K limited’
- Be polite! – The business name suggested should not insult any segment or community within the society and should not have any profanity in it.
3E Accounting suggests:
Choose a name that suits your company
How odd is it to have a name that has little to do with the company’s business or products? Rule of thumb – Your company name should convey a broad view of your products and services.
Block a domain name and immediately
Once your business name is approved, have your domain name licensed. The problem of not acquiring the right domain name when constructing the company website is then, therefore, ruled out!
